Javier García de Enterría
Javier García de Enterría is a Professor of Commercial Law and currently serves as Director of the Special Chair in Legal Studies at the Centro Universitario de Estudios Financieros (CUNEF) and is a member of the Faculty at the Instituto de Empresa. He graduated with highest honors from the Complutense University of Madrid, holds a Ph.D. in Law from the University of Bologna (Italy), and earned a Master of Laws (LL.M.) and was a Visiting Researcher at Harvard University (USA). He is the author of an extensive body of work on various areas of commercial law. Among his most notable monographs are studies on convertible bonds, factoring contracts and credit assignments, mandatory takeover bids, corporate crime from a commercial law perspective, takeover markets, defensive measures and competing offers, voting limitations, concerted actions and conditional offers, capital increases and pre-emptive subscription rights in listed companies, as well as preliminary announcements, vote coordination, and exchange offers. He has also co-edited, together with J. Zurita, the volume La regulación de las OPAs. Comentario sistemático del RD 1066/2007, de 27 de julio (2009), and is the author of the sections on business corporations in the textbook Lecciones de Derecho Mercantil (23rd ed.). Additionally, he has published numerous scholarly articles on various topics in commercial law, with a particular focus on corporate law and securities markets law. He is a member of the editorial boards of several academic journals and has served on various expert committees appointed by the Spanish National Securities Market Commission (CNMV), including those on the reform of the Spanish financial system and on the activities of proxy advisors in the Spanish market. He has been a member of the Advisory Council on Privatizations since its creation in 1996. For 20 years, he was a partner in the Corporate, M&A, and Capital Markets department at Clifford Chance, serving as Managing Partner of the Corporate and M&A practice in the firm's Spanish offices from 2013 to 2021. He currently serves as a consultant at Clifford Chance.
